About the Role An innovative, transaction-focused law firm is seeking a driven Banking & Finance Lawyer or Associate to join its Sydney practice. This is a chance to move away from the traditional "big law" silos and join a firm that operates with a corporate, deal-making mindset. You will work directly with a specialist Director on a broad range of mid-market and high-value financing transactions. The role offers deep exposure to the full deal lifecycle, from initial structuring to execution, acting for a mix of corporate borrowers, private equity sponsors, and non-bank lenders.
Key Responsibilities
Transaction Execution: Manage and lead banking and finance transactions, including corporate finance, acquisition finance, and project-specific funding.
Drafting & Negotiation: Prepare and negotiate a suite of finance documents, including facility agreements, security suites, intercreditor deeds, and legal opinions.
Client Advisory: Provide strategic advice to borrowers and lenders on debt structuring, compliance with financial covenants, and regulatory requirements.
Project Management: Coordinate the conditions precedent (CP) process and lead multi-stakeholder closings to ensure seamless deal delivery.
Direct Engagement: Act as a key point of contact for clients, contributing to the firm’s reputation for providing responsive, commercially astute legal solutions.
About You
Experience: 2–5 years of Post-Admission Experience (PQE) in banking and finance law within a reputable firm.
Technical Proficiency: Strong drafting skills and a solid understanding of financing structures and security regimes.
Commercial Drive: You look beyond the black-letter law to understand the commercial drivers behind a transaction.
