We are representing a premier international law firm seeking an Associate or Senior Associate (3–7 years PQE) to join their elite M&A practice in Sydney. The Opportunity

In this role, you won't just be a "cog in the machine." You will work directly with market-leading partners renowned for their expertise in financial sponsor mandates. The team is famous for its creative legal thinking and a "One Firm Worldwide" model that ensures you are integrated into global deal flows across the US, Europe, and Asia.

Key Highlights:

  • The Work: Represent sophisticated Australian and offshore acquirers/targets in public and private M&A, take-privatizations, buyouts, and joint ventures.

  • The Clients: Advise top-tier private equity houses, global infrastructure funds, and major Australian superannuation funds throughout the entire investment lifecycle.

  • The Pay: This firm pays premium US-aligned salaries, significantly outstripping standard Sydney market rates (consequently, there is no separate bonus structure).

Key Responsibilities

  • M&A Execution: Lead multi-jurisdictional transactions, including disposals and complex joint ventures.

  • Transaction Documentation: Draft and negotiate sophisticated Share Sale Agreements (SSAs), SHAs, and W&I insurance policies.

  • Strategic Advisory: Provide high-level advice on corporate governance, FIRB applications, and Corporations Act compliance.

  • Project Management: Coordinate specialist due diligence teams (tax, IP, employment) and mentor junior associates.



About You

We are looking for the "best of the best." To be successful, you will likely possess:

  • 3–7 years PQE within a top-tier or leading international corporate practice.

  • Technical Rigor: Exceptional drafting skills and a sophisticated understanding of risk allocation in high-stakes negotiations.

  • Sector Expertise: A proven track record in Private Equity or Infrastructure M&A is highly desirable.

  • Academic Credentials: A distinction-level academic record and admission to practice in an Australian jurisdiction.

  • Global Mindset: The ability to collaborate seamlessly with international offices and adapt to a high-performance global culture.
